1. The Service

Fluxions provides speech and voice AI tools, including transcription, annotation, and synthesis, available via a web interface and APIs. We may add, modify, or remove features at any time.

2. Accounts and API keys

• You must provide accurate information and keep your credentials secure.
• You are responsible for all activity under your account and any API keys issued to you.
• You must be at least 16 years old to use the Service.
• Do not share accounts or transfer API keys to third parties without our permission.

3. Your content

You retain all ownership of the audio, video, text, and other material you upload ("Your Content"). You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, process, transmit, and display Your Content solely to operate and provide the Service to you. This licence ends when you delete Your Content or close your account, except to the extent we are required to retain it by law or where it has been shared by you with other users of the Service.

You represent that you have all necessary rights and permissions in Your Content, including any required consents from speakers or subjects, and that Your Content does not infringe any third-party rights or violate any law.

4. Acceptable use

You agree not to:

• use the Service to produce or distribute unlawful, infringing, defamatory, or harassing content;
• generate synthetic speech impersonating a real person without their clear consent;
• upload content you do not have the right to process;
• attempt to reverse engineer, scrape, or circumvent rate limits or access controls;
• use the Service to build a competing product or to train third-party models;
• resell, sublicense, or redistribute the Service without our written permission.

We may suspend or terminate access for violations.

5. Credits and billing

• Paid usage is metered in credits. Pricing is displayed on the Service and may change on notice.
• Credits are prepaid and non-transferable. Consumed credits are non-refundable except where required by law.
• You are responsible for all taxes associated with your use of the Service, other than taxes on our net income.
• Failed payments may result in suspension of access until resolved.

6. Our intellectual property

The Service, including its software, models, interfaces, and branding, is owned by Fluxions and its licensors. Except for the limited rights expressly granted to you in these Terms, no rights are transferred to you.

7. Outputs

Subject to your compliance with these Terms, you own the outputs generated for you by the Service from Your Content. Outputs may not be unique; the Service may generate similar or identical outputs for other users from different inputs, and we retain all rights in the underlying models.

8. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, non-infringement, and any warranty that outputs will be accurate, reliable, or free of errors. AI-generated outputs may contain mistakes; do not rely on them for decisions that require human review.

9. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) £100.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. Sections intended to survive termination (including ownership, disclaimers, limitation of liability, and governing law) will survive.

11. Changes

We may update these Terms from time to time. Material changes will be communicated via the platform or by email. Continued use after an update constitutes acceptance.

12. Governing law

These Terms are governed by the laws of England and Wales. Any dispute will be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any mandatory consumer rights you may have in your country of residence.

• Account information — name, email address, and authentication identifiers you provide when you sign up.
• Content you submit — audio, video, transcripts, annotations, and any other material you upload to the platform.
• Usage data — API calls, credits consumed, timestamps, and basic request metadata (e.g. IP address, user agent) used for security and billing.
• Payment information — we do not store full card details; billing is handled by a payment processor and we retain only transaction references.
• Cookies — strictly necessary cookies for authentication and session management. We do not use advertising or cross-site tracking cookies.

2. How we use it

• To provide, maintain, and improve the Fluxions platform and APIs.
• To authenticate you, enforce credits and rate limits, and prevent abuse.
• To bill you for usage and keep records required by law.
• To communicate with you about your account, service updates, and security.

We do not sell your personal data, and we do not use your uploaded content to train models without your explicit consent.

3. How we store and protect it

Data is stored on reputable cloud infrastructure with access controls, encryption in transit, and encryption at rest where supported. Access to production data is restricted to personnel who need it to operate the service.

4. Sharing

We share personal data only with service providers that help us operate the platform (for example, hosting, authentication, and payments), and only to the extent needed to provide their function. These providers are bound by confidentiality obligations. We may also disclose data where required by law or to protect our rights.

5. Retention

We keep account data for as long as your account is active, and for a reasonable period afterwards to comply with legal, tax, and accounting obligations. You may request deletion of your content at any time.

6. Your rights

7. International transfers

Fluxions is based in the United Kingdom. If you access the service from outside the UK, your data may be transferred to and processed in the UK or other countries where our providers operate, subject to appropriate safeguards.

8. Children

Fluxions is not directed to children under 16 and we do not knowingly collect data from them. If you believe a child has provided us with personal data, please contact us so we can delete it.
